End user license agreement

This End User License Agreement ("Agreement") is between DeeWHY ("Licensor") and the person or entity purchasing a license ("Customer", "you") for the AI Security Intelligence & Report Agent software ("the Software"). By purchasing, installing, or using the Software, you agree to be bound by this Agreement.

1. Grant of license

Upon payment, DeeWHY grants you a perpetual, non-exclusive, non-transferable license to install and use the Software within your organization, covering the major version purchased and all minor and patch updates released within that major version series.

2. No support obligation

The Software is provided with documentation only. DeeWHY is under no obligation to provide technical support, bug fixes, or updates — though minor and patch updates within your licensed major version series will be made available via the purchase portal when released.

3. As-is / no warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 4. Major version upgrades

A license for major version X does not include major version X+1 or later. Upgrade licenses are offered separately, at DeeWHY's discretion, sometimes at a discounted rate for existing customers.

5. No redistribution

You may not resell, sublicense, or redistribute the Software or its source code.

6. Licensing mechanism & activation

The Software is licensed and fulfilled through Lemon Squeezy's built-in License Keys feature. Your license key is generated and emailed to you automatically as part of your purchase receipt. Setting APP_LICENSE_KEY in your deployment's configuration and restarting the Software activates it against Lemon Squeezy's License API.

• License validation requires outbound network access to api.lemonsqueezy.com at startup and approximately every 24 hours thereafter.
• Running the Software without a valid key does not disable it — it is a soft check that displays a warning, not a functional lock — but doing so falls outside the terms of this Agreement.
• Each successful activation consumes one activation instance against your license's activation limit; losing the cached activation state and re-activating repeatedly can exhaust that limit.

7. Third-party components

The Software may optionally integrate with third-party AI services (Ollama, Google Gemini, OpenAI, Anthropic) that you configure yourself with your own API credentials. Your use of those services is governed by their respective terms, not this Agreement.

8. Termination

DeeWHY may terminate this license if you materially breach this Agreement, including the no-redistribution clause in Section 5. Sections 3, 5, and 8 survive termination.

9. Governing law

This agreement is governed by, and construed in accordance with, the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts located in London, United Kingdom to resolve any disputes.
